1. ACCEPTANCE OF TERMS AND ELIGIBILITY

These Terms of Service (“Terms”) govern access to and use of Cushi, a governance and instruction-acknowledgement service operated by Superspeed.ai Pty Ltd (“Cushi”, “we”, “us”, or “our”), available at cushi.app and related applications.

By creating an account, accepting an invitation to join an organisation on Cushi, or otherwise using the service, you agree to be bound by these Terms. If you do not agree, you must not use the service.

If you are using Cushi on behalf of an organisation (a “Customer”), you represent that you have authority to bind that organisation to these Terms, and “you” refers to both you individually and that organisation.

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. Customers deploying Cushi in environments involving minors are responsible for ensuring appropriate consent or lawful authority, consistent with our Privacy Policy.

2. ACCOUNT REGISTRATION AND SECURITY

To use most features of Cushi, you must register for an account or accept an invitation from a Customer administrator. You agree to:

  • Provide accurate and complete information when registering
  • Keep your login credentials confidential
  • Notify us promptly at security@cushi.app if you suspect unauthorised access to your account
  • Take responsibility for activity that occurs under your account, except where caused by our failure to meet our security obligations

Customer administrators are responsible for managing the users they invite into their organisation, including granting and revoking access.

3. DESCRIPTION OF SERVICE AND CREDIT MODEL

Cushi provides governance infrastructure designed to record acknowledged instruction before work begins. Organisations create activities (instructions, procedures, or content requiring acknowledgement) and assign them to internal team members or external contacts, who confirm they have reviewed and understood them. Artificial intelligence functionality may assist with drafting and comprehension but does not replace human acknowledgement.

Cushi operates on a credit model:

  • Each organisation holds a balance of credits. A credit is a unit of use within the Cushi service.
  • Sending or assigning an activity to a new recipient (whether an internal team member or an external contact) consumes one credit from the organisation’s balance.
  • Resending or reissuing an activity to someone who has already been sent it does not consume an additional credit.
  • Credits do not expire unless we notify you otherwise in advance.
  • Content already sent or acknowledged remains accessible even if an organisation’s credit balance reaches zero; only sending to new recipients requires available credits.
  • Credit packs and pricing are made available for purchase through the service and displayed at checkout. Prices may vary by region and are subject to change; the price displayed at the time of purchase applies to that transaction.
  • Credits have no cash or monetary value. They cannot be transferred, sold, exchanged for cash, or used outside the Cushi service.

We may change features of the service, including the credit model, from time to time. Material changes will be communicated in advance where reasonably practicable.

4. PAYMENTS, TAXES AND MERCHANT OF RECORD NOTICE

Our order process is conducted by our online reseller Paddle.com. Paddle.com Market Limited (“Paddle”) is the Merchant of Record for all our orders. Paddle handles payment collection, applicable taxes (including GST and VAT where relevant), invoicing, order inquiries, returns, and the statutory consumer-law obligations connected to the sale itself.

By making a purchase, you also agree to the Paddle Buyer Terms and the Paddle Privacy Policy. Prices displayed at checkout are inclusive or exclusive of tax as indicated at the time of purchase, depending on your location.

Before purchase, the checkout shows the product description, price, and total amount. Review the order details and correct any error before you complete the purchase.

Cushi delivers the service after Paddle confirms the purchase. This means adding purchased credits to your account and providing access to the platform. Cushi provides support for using the Cushi service. Paddle provides support for transactions and refunds under its Buyer Terms.

5. REFUNDS

Refunds are governed by our Refund Policy, published at https://site.cushi.app/refund-policy/, which is incorporated into these Terms by reference. By purchasing credits, you agree to the terms of that Refund Policy. Nothing in these Terms excludes, restricts, or modifies any non-excludable rights you have under the Australian Consumer Law or equivalent mandatory consumer protection laws in your jurisdiction.

Where the Refund Policy conflicts with mandatory law or the Paddle Buyer Terms governing the transaction, the mandatory law or the Paddle Buyer Terms prevail to the extent of the conflict.

6. INTELLECTUAL PROPERTY RIGHTS

Cushi, its logo, the Cushi name, and the underlying software, design, and documentation are owned by Superspeed.ai Pty Ltd or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any ownership interest in the service itself.

As between you and Cushi, you and your organisation retain ownership of the content you upload or create using the service (instructions, documents, activity records, and similar material) (“Customer Content”). You grant Cushi a limited licence to host, process, and display Customer Content solely as necessary to provide the service to you.

You must not copy, modify, reverse engineer, decompile, or attempt to extract the source code of the service, except to the extent such restriction is not permitted by applicable law.

7. ACCEPTABLE USE

You must not use Cushi to:

  • Upload or transmit unlawful, defamatory, fraudulent, or infringing content
  • Attempt to gain unauthorised access to any part of the service, other accounts, or underlying systems
  • Interfere with or disrupt the integrity or performance of the service
  • Use the service to send unsolicited communications in violation of applicable law
  • Circumvent the credit model, including through automated or abusive means intended to obtain credits or sends without payment
  • Use the service in a manner that violates the rights of any third-party

We may investigate and take appropriate action, including suspension or termination, where we reasonably believe these restrictions have been violated.

8. LIMITATION OF LIABILITY AND DISCLAIMER OF WARRANTIES

To the maximum extent permitted by law, Cushi is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, Superspeed.ai Pty Ltd, its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the service.

Nothing in these Terms excludes, restricts, or modifies any guarantee, condition, or warranty implied by the Australian Consumer Law or other applicable law that cannot lawfully be excluded. Where liability cannot be excluded but may be limited, our liability is limited, at our option, to the resupply of the service or the cost of resupplying it.

9. TERMINATION AND SUSPENSION

You may stop using the service at any time. A Customer administrator may close their organisation’s account by contacting support@cushi.app.

We may suspend or terminate access to the service, in whole or in part, if we reasonably believe you have breached these Terms, engaged in unlawful conduct, or where required to protect the security or integrity of the service. Where reasonably practicable, we will provide notice before suspension or termination.

Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will continue to apply.

10. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of Queensland, Australia, without regard to conflict of law principles. You submit to the non-exclusive jurisdiction of the courts of Queensland, Australia.

Nothing in this section affects any non-excludable statutory rights you have under the Australian Consumer Law or equivalent mandatory consumer protection laws in your local jurisdiction if you are located outside Australia.
